LL.M 635 Corporations Law


This course will examine the role of the lawyer in the formation of various business entities including sole proprietorship, partnerships, and corporations. Students will learn how to prepare and draft articles of incorporation used in establishing various forms of businesses and corporations.

Learning Outcomes:

  • Examine the role of the lawyer in the formation of various business entities including sole proprietorship, partnerships, and corporations.
  • Demonstrate the ability to identify and analyze relevant facts, problems and legal issues from a given scenario and develop an argument in response, discussing available options in the context of corporate law.
  • Demonstrate the ability to interpret company law legislation, to complete transactions based on that legislation and relevant case law, and to discuss the relevant transactions clearly in class.
  • Learn how to prepare and draft articles of incorporation used in establishing various forms of businesses and corporations.
